These Terms of Service ("Terms") govern your use of greelogix.com and the software development, AI, QA, design, and consulting services offered by GreeLogix ("GreeLogix," "we," "us," or "our"), a software agency based in Lahore, Pakistan, serving clients in the United States, United Kingdom, United Arab Emirates, Australia, Canada, and elsewhere.
By accessing our website or engaging us for services, you agree to these Terms. If you are entering into an agreement on behalf of a company, you represent that you have authority to bind that company.
1. Services scope
GreeLogix provides custom software development, AI integration, MVP builds, mobile and web applications, QA and testing, UI/UX design, developer staff augmentation, technical audits, and related consulting. Specific deliverables, timelines, fees, and acceptance criteria are defined in a written proposal, statement of work (SOW), or master services agreement (MSA) agreed with you (the "Client").
Website content, calculators, and free tools are informational and do not constitute a binding offer until confirmed in a signed or accepted SOW.
2. Intellectual property — 100% code ownership
Consistent with our "100% Code Ownership" promise: upon full payment of all fees due for a project (or for a clearly defined deliverable milestone where the SOW so provides), GreeLogix assigns to the Client all right, title, and interest in the custom source code, designs, and materials specifically created for that Client under the engagement, excluding Pre-Existing Materials and Third-Party Materials.
- Pre-Existing Materials — our internal frameworks, templates, libraries, tooling, and know-how that pre-date or are developed independently of your project. We retain ownership of these and grant you a perpetual, worldwide, non-exclusive license to use them as embodied in the deliverables.
- Third-Party Materials — open-source packages, SaaS APIs, fonts, stock assets, and vendor SDKs remain subject to their own licenses. We will identify material third-party dependencies on request.
Until full payment is received, GreeLogix retains all IP rights in unpaid work product. We may withhold repository access, deployments, or final handoff until outstanding invoices are settled.
3. Client responsibilities
- Provide timely access to accounts, staging environments, brand assets, and decision-makers.
- Ensure you have rights to materials you supply (content, trademarks, data, credentials).
- Review and accept deliverables within the timeframes set in the SOW.
- Comply with applicable laws in your use of the finished product.
4. Payment terms
- Fees, currency, and schedule are stated in the SOW (commonly milestone-based or monthly retainer).
- Invoices are due as specified (often net 7–15 days). Late amounts may accrue interest or pause work after written notice.
- Unless stated otherwise, quotes exclude third-party costs (cloud hosting, app store fees, paid APIs, licenses) which remain Client's responsibility.
- Deposits and prepaid fees are non-refundable once work has commenced, except where required by law or expressly agreed in writing.
5. Warranties and acceptance
We warrant that services will be performed in a professional and workmanlike manner consistent with industry standards for similar engagements. Unless a longer warranty is stated in the SOW, we will remedy documented defects that materially deviate from the agreed acceptance criteria for 30 days after delivery of the relevant milestone, provided you report them in writing promptly.
Except as expressly stated, services and deliverables are provided "as is." We do not warrant uninterrupted operation, fitness for a particular purpose beyond the SOW, or that software will be free of all bugs. Free tools, audits, and website estimates are guidance only and not guarantees of outcomes or pricing.
6. Limitation of liability
To the maximum extent permitted by law, GreeLogix's total aggregate liability arising out of or related to an engagement shall not exceed the fees actually paid by the Client to GreeLogix for that engagement in the three (3) months preceding the claim.
We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, business interruption, or reputational harm, even if advised of the possibility — whether based in contract, tort, or otherwise.
7. Confidentiality
Each party will protect the other's confidential information with reasonable care and use it only to perform under the engagement. Confidentiality obligations survive for three (3) years after disclosure (or longer for trade secrets as long as they remain trade secrets).
8. Termination
Either party may terminate an engagement as provided in the SOW. Upon termination, Client pays for work completed and approved expenses through the effective date. IP assignment for paid work follows Section 2.
9. Website use
You may not misuse the site (scraping that degrades service, attempting unauthorized access, distributing malware, or using our marks without permission). We may suspend access to free tools for abuse or security reasons.
10. Governing law and international clients
These Terms and any dispute arising from them or from our services are governed by the laws of Pakistan, without regard to conflict-of-law rules.
For Clients outside Pakistan (including the US, UK, UAE, Australia, and Canada): the parties will first attempt good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to the competent courts of Lahore, Pakistan, unless the parties agree in a signed SOW/MSA to arbitration or another venue. Nothing in these Terms prevents either party from seeking interim injunctive relief in any court of competent jurisdiction to protect IP or confidential information.
If a provision is held unenforceable, the remainder stays in effect. Our failure to enforce a right is not a waiver of that right.
11. Changes
We may update these Terms periodically. The "Last updated" date will change when we do. Material changes to active project terms require written agreement between the parties; website Terms updates apply to future use of the site and new engagements.
